Terms and Conditions
These Terms and Conditions ("Terms") govern the supply of services by Catspace Marketing Ltd ("Catspace", "we", "us", "our") to clients ("you", "your", "Client").

Services Offered
Catspace provides digital marketing services for businesses, including but not limited to:
- Google Reviews Management (GRM) - recurring subscription
- 360° Virtual Tours - one-time project
- Social Media Management - recurring subscription
- Photos & Videos - one-time project
- Website Creation & Management - one-time project + optional maintenance
- Professional Email Setup - recurring subscription
- Google Ads & Meta Ads Management - performance-based commission

Quotes and Orders
3.1 Quotes
All prices displayed on our website are valid at the time of publication. Custom quotes provided by Catspace are valid for 30 days from the date of issue, unless otherwise specified.
3.2 Orders
An order is considered confirmed and binding upon:
- Acceptance of a quote in writing (email or WhatsApp), AND
- Payment of the agreed amount (or first installment for recurring services), AND
- Receipt of the necessary information from the Client to begin work
Pricing and Payment
4.1 Pricing
All prices are displayed in GBP (£) for UK clients and EUR (€) for European clients. Catspace is not currently registered for VAT under the UK threshold (£90,000 turnover). No VAT is added to invoices.
4.2 Payment methods
Payments are processed via:
- Stripe (credit/debit cards) for one-time and recurring services
- Bank transfer for invoices issued upon request
4.3 Payment terms
- One-time services: full payment is required before work begins, unless explicitly agreed otherwise in writing.
- Recurring services: monthly or annual billing, charged automatically via Stripe.
- Performance-based services (Google Ads, Meta Ads): management commission billed monthly based on the previous month's ad spend.
4.4 Late payment
Failure to pay by the due date may result in:
- Suspension of services until payment is received
- Late payment interest at the Bank of England base rate + 8% per annum (in accordance with the UK Late Payment of Commercial Debts Regulations 2013)
- Recovery costs, including legal fees if applicable
Service Delivery and Timelines
5.1 Standard timelines
Indicative delivery timelines are:
- 360° Virtual Tour: live on Google within 48 hours of the photo shoot, subject to weather conditions and Client availability
- Google Reviews Management: setup within 5-7 business days of payment, including delivery of the Kickstart Pack (NFC stand, table tags, QR cards)
- Website Creation: typical delivery in 2-4 weeks, depending on project complexity
- Photos & Videos: delivery within 7-14 business days of the shoot
5.2 Force majeure
Catspace is not liable for delays caused by force majeure events, including but not limited to: severe weather, illness, internet/cloud service outages, third-party platform changes (e.g., Google policy updates), or other circumstances beyond our reasonable control.
5.3 Client responsibility
Timely delivery depends on Client cooperation, including:
- Providing requested information promptly
- Granting access to Google Business Profile, social media accounts, or website backend when required
- Approving deliverables within agreed review windows
Delays caused by Client unresponsiveness may extend agreed timelines without penalty to Catspace.
Cancellation and Refunds
6.1 Recurring services (subscriptions)
You may cancel any recurring subscription at any time. Cancellation takes effect at the end of the current billing period. No refund is issued for the current period.
For services with a minimum commitment (e.g., 3-month minimum on certain GRM bundles), cancellation before the end of the commitment period requires payment of the remaining months.
6.2 One-time services
Once work has begun on a one-time project (e.g., 360° tour shoot scheduled, website development started), no refund is possible. If the Client cancels before work has begun, a 50% cancellation fee applies to cover preparation costs.
6.3 UK Consumer rights
For consumer clients (not businesses) within the UK, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may grant a 14-day cooling-off period for distance contracts. By requesting immediate service delivery within this period, you waive your right to cancel once the service has started.
6.4 EU Consumer rights
For consumer clients in the EU, similar 14-day cooling-off rights apply under the EU Consumer Rights Directive (2011/83/EU). Same waiver applies for immediate service delivery.
Intellectual Property
7.1 Client-provided content
Any content (text, logos, photos, videos, brand materials) provided by the Client remains the exclusive property of the Client. By providing this content, the Client grants Catspace a non-exclusive license to use it solely for the purpose of delivering the agreed services.
7.2 Catspace deliverables
Upon full payment, the Client is granted ownership or a license (depending on the service) over the final deliverables:
- 360° Tours: Client receives full usage rights for marketing, website, and Google Business Profile. Catspace retains the right to display tours in its portfolio.
- Photos & Videos: ownership and unlimited usage rights transferred to the Client (Pack Premium 360° includes image rights as detailed on the service page).
- Website: Client owns the design and content; Catspace retains ownership of any reusable code, templates, or frameworks.
- Social Media Content: Client owns the published content; raw files (templates, project files) remain Catspace's property unless otherwise agreed.
7.3 Third-party rights
Some deliverables may include third-party assets (stock photos, fonts, plugins). Their use is governed by their respective licenses, which Catspace will respect and disclose to the Client upon request.
Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement (including business strategies, pricing details, customer data). This obligation continues for 3 years after the end of the commercial relationship.
Liability
9.1 Limitation of liability
To the maximum extent permitted by law, Catspace's total liability for any claim arising out of or related to a service is limited to the amount paid by the Client for that service in the 12 months preceding the claim.
Catspace is not liable for:
- Indirect damages (loss of profits, loss of customers, reputational harm)
- Third-party platform decisions (e.g., Google suspending a Business Profile, Meta rejecting an ad campaign)
- Performance variations in marketing campaigns (results depend on many external factors)
9.2 No guarantee of results
Catspace does its best to deliver high-quality services and improve the Client's online presence. However, no specific result is guaranteed, particularly for:
- Google Maps ranking
- Number of reviews collected
- Number of customers acquired through ads
- Conversion rates
These outcomes depend on many factors outside Catspace's control (market competition, seasonality, Client's offerings, etc.).
9.3 Statutory rights
Data Protection
Both parties commit to complying with applicable data protection laws (UK GDPR, EU GDPR, Data Protection Act 2018). Catspace's handling of personal data is detailed in our Privacy Policy.
When Catspace acts as a data processor on behalf of the Client (e.g., when managing Google Business Profile reviews on the Client's behalf), a Data Processing Agreement (DPA) may be signed between the parties upon request.
Termination
Either party may terminate the contract:
- For convenience: with 30 days' written notice (recurring services only)
- For breach: immediately if the other party materially breaches the Terms and fails to remedy the breach within 14 days of written notice
Upon termination:
- All outstanding amounts become immediately due
- Catspace will hand over any client-owned materials (passwords, account access) within a reasonable timeframe
- Confidentiality and data protection obligations survive termination
Modifications to These Terms
Catspace reserves the right to update these Terms at any time. The "Last updated" date at the top of this page indicates when the latest version takes effect.
For existing clients on recurring subscriptions, material changes will be communicated via email at least 30 days before they take effect. Continued use of the service after this period constitutes acceptance of the updated Terms.
Governing Law and Dispute Resolution
13.1 Governing law
These Terms are governed by the laws of Scotland, United Kingdom.
13.2 Amicable resolution
In case of dispute, the parties commit to first seeking an amicable resolution by direct discussion. The Client may contact Catspace at contact@catspacemarketing.co.uk to initiate such a discussion.
13.3 Jurisdiction
Failing an amicable resolution, any dispute shall be subject to the exclusive jurisdiction of the Scottish courts, without prejudice to mandatory consumer protection rules applicable to consumer clients in their country of residence.
Miscellaneous
14.1 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.2 No waiver
Failure or delay by Catspace to enforce any right under these Terms does not constitute a waiver of that right.
14.3 Entire agreement
These Terms, together with the specific quote or order accepted by the Client, constitute the entire agreement between the parties and supersede all prior agreements, communications, or understandings.
